  • Service Modifications: We reserve the right to modify or discontinue our services without prior notice, although we will make every effort to communicate significant changes in advance.

3. Project Proposals and Agreements

  • Proposals: All service engagements are based on proposals provided to the client, which detail the scope, timeline, and pricing of the project.
  • Acceptance: By accepting the proposal, you agree to the terms outlined within it and authorize NexBazaar to begin the project.
  • Changes: Any modifications to the scope, timeline, or deliverables after acceptance will require a revised proposal or addendum, which may adjust the pricing accordingly.

4. Fees and Payment

  • Pricing: Our service fees are outlined in the project proposal. All fees are exclusive of taxes unless otherwise specified.
  • Payment Terms: Payment schedules and terms are agreed upon in the proposal, typically including an initial deposit, progress payments, and final payment.
  • Late Payments: Late payments may be subject to interest charges as permitted by law and may delay project completion.

5. Client Responsibilities

  • Content and Information: You are responsible for providing all necessary content, data, and information for the project within agreed timelines. Failure to do so may result in delays.
  • Approvals and Feedback: You agree to review deliverables, provide feedback, and approve stages of the project promptly.
  • Compliance: You represent that all information, content, and data provided do not infringe on the rights of third parties and comply with all applicable laws and regulations.

6. Intellectual Property Rights

  • Ownership: NexBazaar retains ownership of all intellectual property and proprietary materials created for internal use in the development process, including but not limited to templates, software, and design assets, unless otherwise agreed in writing.
  • Client Materials: Any materials provided by the client remain the property of the client. By providing these materials, you grant NexBazaar a non-exclusive, royalty-free license to use them for project purposes.
  • Final Deliverables: Upon full payment, ownership of the final deliverables, including designs, code, and content, will transfer to the client as specified in the project agreement.

7. Confidentiality

  • Client Information: We are committed to maintaining the confidentiality of all client-provided information and will not disclose it to third parties without permission, except as required by law.
  • NexBazaar Information: You agree to keep confidential any proprietary or sensitive information provided by NexBazaar during the course of the project.

8. Warranties and Limitation of Liability

  • Warranties: NexBazaar warrants that our services will be provided with reasonable skill and care. However, we do not guarantee that our services will be uninterrupted or error-free.
  • Limitation of Liability: To the fullest extent permitted by law, NexBazaar will not be liable for any indirect, incidental, or consequential damages, including loss of revenue, profits, or data, arising from or related to our services, even if we have been advised of the possibility of such damages.
  • Maximum Liability: NexBazaar’s total liability for any claim related to our services will not exceed the amount paid by you for the specific project giving rise to the claim.

9. Termination and Cancellation

  • Termination by NexBazaar: We reserve the right to terminate the project if you fail to meet payment obligations or violate these Terms. In such cases, you remain responsible for payment for services rendered up to the termination date.
  • Termination by Client: If you choose to terminate the project, you must provide written notice. Any deposits or prepayments may be non-refundable as specified in the project agreement.
  • Post-Termination Obligations: Upon termination, each party must return or destroy any confidential information obtained from the other party.

10. Amendments to Terms

NexBazaar reserves the right to modify these Terms at any time. Changes will be posted on our website, and the revised Terms will apply to future services. Continued use of our services after modifications constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction].
